Opi Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of Opi, an oilfield procurement information service operated by Brennan Tharaldson (“Opi,” “we,” “us,” or “our”), including the Opi website and SMS messaging service.
By accessing the website, texting Opi, or otherwise using the service, you agree to these Terms.
1. Description of the Service
Opi allows users to request information concerning oilfield materials, parts, equipment, vendors, reported pricing, estimated lead times, and product availability.
Opi may use databases, automated systems, artificial intelligence, vendor-supplied information, and other sources to respond to user requests.
Opi is an informational and vendor-connection service. Opi is not a manufacturer, distributor, seller, broker, purchasing agent, engineering firm, or party to transactions between users and vendors unless expressly agreed in a separate written contract.
2. Informational Nature of Results
Pricing, inventory, availability, specifications, lead times, delivery estimates, vendor contacts, and other information provided through Opi are informational estimates based on available data.
Information may be incomplete, outdated, inaccurate, or subject to change without notice.
Users must independently confirm all information directly with the applicable vendor before:
- Placing an order
- Approving a purchase
- Issuing a purchase order
- Committing project funds
- Scheduling work or delivery
- Relying on a product specification
The vendor’s final written quotation and commercial terms control any transaction.
3. No Professional Advice
Opi does not provide engineering, legal, financial, tax, regulatory, safety, environmental, or other licensed professional advice.
Users are responsible for confirming that products, materials, specifications, and vendors are appropriate for their intended application and comply with applicable laws, standards, contracts, and operating requirements.
4. Vendor Relationships
Opi may provide vendor names, contact information, pricing information, or referrals.
A vendor’s inclusion in Opi does not constitute a guarantee, certification, endorsement, or representation regarding that vendor’s products, services, financial condition, qualifications, safety performance, or reliability.
Vendors are solely responsible for their quotations, products, warranties, delivery, invoicing, taxes, contractual obligations, and customer service.
Opi is not responsible for disputes, losses, delays, defects, nonperformance, or other issues arising between a user and a vendor.
5. SMS Messaging Program
Users may opt in to receive conversational SMS messages by texting PROCURE or START to (432) 535-3377.
Messages may include:
- Responses to procurement questions
- Reported pricing information
- Product availability
- Estimated lead times
- Vendor contact information
- Service-related notices
- Requests for clarification
Message frequency varies based on the user’s requests and interactions.
Message and data rates may apply.
Consent to receive SMS messages is not a condition of purchase.
Opting Out
Reply STOP to unsubscribe from Opi SMS messages.
Opi may send one final message confirming the opt-out. After processing the request, no further messages will be sent unless the user opts in again.

Wireless carriers are not responsible for delayed or undelivered messages.
Users are responsible for keeping their mobile number current and ensuring they are authorized to use the number provided.
6. Privacy
Opi’s collection and use of information are governed by the Opi Privacy Policy:

Mobile information and SMS opt-in consent will not be sold or shared with third parties or affiliates for their own marketing or promotional purposes.
Information may be shared with service providers that assist Opi in operating the service, subject to appropriate limitations, or when required by law.
Procurement request details may be shared with vendors when necessary to answer a request, provide vendor information, or facilitate a user-requested introduction. SMS consent itself is not transferred to those vendors.
7. User Responsibilities
By using Opi, you agree to:
- Provide accurate information
- Use the service only for lawful purposes
- Independently verify procurement information
- Maintain appropriate purchasing and approval controls
- Obtain any necessary internal authorization
- Protect confidential or proprietary information
- Avoid submitting information you are not authorized to disclose
You must not use Opi to:
- Send unlawful, fraudulent, abusive, or deceptive requests
- Impersonate another person or business
- Interfere with the service or its security
- Introduce malware or malicious code
- Scrape, copy, reverse engineer, or exploit the service
- Violate another party’s intellectual-property or privacy rights
- Request or facilitate prohibited or illegal transactions
8. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use Opi.
When using Opi on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms.
9. Intellectual Property
The Opi name, website, service, software, databases, organization of information, original content, and related materials are owned by Brennan Tharaldson or applicable licensors and are protected by intellectual-property laws.
These Terms grant you a limited, revocable, nonexclusive, nontransferable right to use Opi for its intended business purpose.
No ownership rights are transferred to you.
10. User Communications
You retain ownership of information you submit to Opi.
You grant Opi permission to process, store, reproduce, and use submitted information as reasonably necessary to:
- Respond to requests
- Operate and improve the service
- Locate relevant products or vendors
- Maintain records
- Prevent misuse
- Comply with legal obligations
Do not submit trade secrets, export-controlled information, personal health information, payment-card information, passwords, or other highly sensitive information unless Opi expressly provides a secure method for doing so.
11. Service Availability
Opi may modify, suspend, restrict, or discontinue any part of the service at any time.
Opi does not guarantee that the website or messaging service will always be available, uninterrupted, timely, secure, or error-free.
SMS delivery may be affected by carriers, networks, devices, service providers, maintenance, outages, filtering, or circumstances outside Opi’s control.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPI AND ALL INFORMATION PROVIDED THROUGH OPI ARE OFFERED “AS IS” AND “AS AVAILABLE.”
OPI DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, AND RESULTS.
OPI DOES NOT WARRANT THAT ANY PRICE, INVENTORY LEVEL, LEAD TIME, SPECIFICATION, VENDOR, PRODUCT, OR OTHER INFORMATION WILL BE ACCURATE, CURRENT, AVAILABLE, OR SUITABLE FOR A USER’S NEEDS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRENNAN THARALDSON AND OPI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST PRODUCTION, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, PROCUREMENT DELAYS, OR SUBSTITUTE-PRODUCT COSTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPI’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF:
- The amount you paid directly to Opi during the six months preceding the event giving rise to the claim; or
- One hundred United States dollars ($100).
Some jurisdictions do not permit certain liability limitations, so portions of this section may not apply to you.
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Brennan Tharaldson and Opi from claims, liabilities, damages, losses, and reasonable expenses arising from:
- Your misuse of the service
- Your violation of these Terms
- Information you submit
- Your purchase or use of a vendor’s products or services
- Your violation of another party’s rights
- Your violation of applicable law
15. Suspension and Termination
Opi may suspend or terminate access when reasonably necessary to:
- Protect users, vendors, Opi, or third parties
- Prevent fraud, abuse, or security threats
- Comply with legal or carrier requirements
- Address a violation of these Terms
You may stop using Opi at any time and may stop SMS messages by replying STOP.
16. Changes to These Terms
Opi may update these Terms periodically.
The updated version will be posted at:
https://www.procurewithopi.com/tc
The effective date will be revised when material changes are made. Continued use of Opi after revised Terms become effective constitutes acceptance of those Terms to the extent permitted by law.
17. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Unless applicable law requires otherwise, any legal action arising from these Terms or the service must be brought in a state or federal court with jurisdiction in Midland County, Texas.
18. General Terms
If any provision of these Terms is found unenforceable, the remaining provisions will remain effective.
Opi’s failure to enforce a provision is not a waiver of that provision.
These Terms and the Privacy Policy constitute the entire agreement concerning the general use of Opi unless the parties enter into a separate written agreement.
